The Circular prescribes the deadlines, submission platform, documentary requirements, and other compliance guidelines for all corporations under SEC supervision.

3. AFS Submission Requirements

  • Stamped “Received” by the BIR (or attach BIR eAFS confirmation receipt);
  • Include the basic components required under Revised SRC Rule 68;
  • Audited if the corporation meets the prescribed thresholds (see below);
  • Include the Statement of Management’s Responsibility (SMR) where applicable (templates provided under Annex A.1 and A.2 of the Circular).

6. Mandatory Electronic Filing

All AFS and GIS must be filed through eFAST (https://efast.sec.gov.ph/). Submission via email, courier, mail, or over-the-counter is no longer accepted.

Reports are automatically received upon submission and assigned a QR Code, subject to post-review. Reverted filings are considered not filed.

7. Requirement to Engage SEC-Accredited External Auditors

Corporations covered under Part I, Section 3(B) of Revised SRC Rule 68 are required to engage SEC-accredited external auditors under the appropriate accreditation category.
